Who we are. SDG Enterprise Limited (“we”, “us”, “our”) is an IT consulting company that helps SMEs design, deploy, and adopt practical AI solutions, including tailor‑made tools, self‑hosted infrastructure, and training.
Scope. These Terms govern your use of our website and—unless a separate master agreement is signed—engagements described in a signed proposal, order, or statement of work (“SOW”). If there is a conflict, the SOW controls for that engagement.
- Engagement Model. We deliver Services as outlined in the SOW (deliverables, timeline, assumptions). Work outside scope requires a written change request.
- Fees & Invoicing. Fees may be fixed, milestone‑based, or time‑and‑materials. Unless stated otherwise, invoices are due net 15 days. Fees exclude taxes, duties, and pass‑through costs (e.g., API usage, compute), which you agree to pay or reimburse.
- Client Responsibilities. You will provide timely access to systems, data, personnel, and decision makers; ensure you have lawful rights to the data you provide; and maintain appropriate backups. You remain responsible for business decisions and human oversight of any AI‑assisted workflows.
- Intellectual Property. Each party retains ownership of its pre‑existing IP. Upon full payment, you receive a worldwide, perpetual, non‑exclusive license to use the Deliverables for your internal business purposes. Our underlying methods, templates, and tooling remain ours. Third‑party or open‑source components are provided under their respective licenses.
- Third‑Party Services & Usage. Some solutions may rely on third‑party models, APIs, datasets, or hosting. Your use of those components is subject to the third parties’ terms. We are not responsible for changes made by those providers.
- Confidentiality. Non‑public information disclosed by either party and marked or reasonably understood as confidential (“Confidential Information”) will be used only to perform the SOW and protected with reasonable care. Exclusions include information that is public, received lawfully from a third party, independently developed, or required by law to be disclosed (with notice where lawful).
- Data Protection. For website inquiries we act as an independent controller. For delivery of Services we typically act as a processor to you as controller. A Data Processing Addendum (DPA) is available on request. We implement reasonable technical and organizational measures proportionate to the engagement.
- AI‑Specific Notice. Model outputs can be inaccurate, biased, or incomplete. Unless expressly guaranteed in the SOW, we do not warrant the accuracy of AI outputs. You must implement human review and appropriate safeguards before relying on outputs for decisions.
- Warranties. We warrant that we will perform Services in a professional and workmanlike manner. To the maximum extent permitted by law, we disclaim all other warranties, including fitness for a particular purpose and non‑infringement. We do not warrant uninterrupted or error‑free operation.
- Limitation of Liability. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Except for unpaid fees, misuse of IP, or breach of confidentiality, each party’s aggregate liability under an engagement is limited to the fees paid or payable for the twelve (12) months preceding the claim.
- Non‑Solicitation. During the engagement and for 12 months after, neither party will solicit for employment the other’s personnel who worked on the engagement, except via general job ads.
- Publicity. We may reference your name and logo as a client and may publish a high‑level case study with your prior written approval.
- Termination. Either party may terminate an SOW for material breach if not cured within 14 days of notice. On termination, you will pay for work performed up to the effective date. Sections intended to survive (e.g., IP, confidentiality, liability limits) will survive.
- Governing Law. These Terms are governed by the laws of your and our agreed forum in the SOW. Where no forum is specified, the governing law and courts of [Insert Jurisdiction] apply, without regard to conflicts of law.
- Changes to Terms. We may update these Terms to reflect operational or legal changes. We will post the new date at the top and, where appropriate, provide additional notice.
